About MICROBA

MICROBA is a platform and ecosystem through which people may discover, understand, purchase, participate in, and interact with MICROBA Products, experiences, Knowledge, community capabilities, and programmes.

Different MICROBA capabilities have different responsibilities.

For example:

Profile
-> identity and membership

HIVE
-> sponsor / affiliate relationships and related programme activity

Product
-> Product definition and availability

Commerce
-> Orders and payment lifecycle

SA
-> SA Registry, ownership and programme transactions

Knowledge
-> explanations, articles, research and governed information

The availability of any particular capability may change over time.

Eligibility

You must be legally capable of entering into the relevant agreement under applicable law.

Some Products, programmes, features, or transactions may have additional eligibility requirements, including:

• minimum age;
• location;
• membership status;
• verification;
• Product-specific criteria;
• programme qualification;
• invitation or cohort eligibility for a particular restricted experience; or
• other lawful requirements.

The fact that MICROBA generally allows open registration does not mean every Product or programme is available to every person.

Open Registration and Direct Participation

MICROBA may allow people to join directly.

Canonical principle:

A person does not need an affiliate or sponsor merely to create an ordinary MICROBA membership or make an ordinary eligible purchase.

If you join through a valid invitation, referral, sponsor, or affiliate link, MICROBA may preserve that attribution according to the applicable HIVE or programme rules.

A specific restricted Product, Launch, or programme may still impose additional participation conditions where those conditions are clearly disclosed.

MICROBA Account and MID

Registered users may receive a MICROBA account and a persistent identity identifier such as a MID.

Your MID identifies your MICROBA identity within the ecosystem.

You are responsible for:

• providing accurate information;
• keeping required information reasonably current;
• protecting your login credentials;
• using your account only through authorized means; and
• notifying MICROBA if you reasonably believe your account has been compromised.

You must not:

• impersonate another person;
• create an account using materially false identity information;
• obtain unauthorized access to another account;
• sell or transfer account access without permission; or
• bypass authentication or authorization controls.

Account Verification

MICROBA may require verification before activating or allowing access to certain features.

Verification may include:

Email verification
Identity confirmation
Eligibility confirmation
Security verification
Other programme-specific checks

Verification of an account does not mean MICROBA endorses every statement, activity, Product claim, community contribution, or transaction associated with that user.

Membership

Membership provides access to the MICROBA capabilities made available to the relevant member at that time.

Membership does not automatically guarantee:

• access to every Product;
• participation in every Launch;
• HIVE qualification;
• affiliate status;
• commission;
• SA entitlement;
• financial benefit;
• permanent access to every feature; or
• availability of services in every country.

Features and eligibility may depend on applicable rules and system state.

Profile and Public Profile

MICROBA may provide private account/Profile features and optional public Profile features.

You are responsible for content you choose to make public.

Do not publish information you do not wish other people to see.

MICROBA may moderate, restrict, or remove public Profile content that violates these Terms, community rules, applicable law, or the rights of others.

My Places

Eligible members may save Places or location information for supported MICROBA experiences.

A saved Place is not necessarily the same as the recipient or delivery information committed to an Order.

Updating or deleting a saved Place does not rewrite historical Orders or other records that legitimately preserve an earlier location snapshot.

You are responsible for checking delivery/location information before confirming a transaction.

HIVE, Sponsors and Affiliates

HIVE governs relevant sponsor, referral, affiliate, qualification, network, and commission relationships.

Participation in HIVE or an affiliate programme may be subject to separate programme rules.

Where applicable:

• a valid referral may establish or preserve attribution;
• qualification may depend on defined programme criteria;
• commissions may arise only from eligible activity;
• commissions may remain pending until relevant conditions are satisfied;
• cancellations, refunds, reversals, fraud, or invalid transactions may affect commissions; and
• historical relationship and transaction records may be preserved for reconciliation and audit.

No Mandatory Affiliate for Ordinary Purchase

An ordinary eligible Product purchase may proceed without an affiliate relationship.

MICROBA may still record a valid referral where one exists.

The absence of an affiliate does not by itself make an otherwise eligible purchase invalid.

This principle does not prevent a specific affiliate-only programme or restricted campaign from having clearly disclosed eligibility rules.

Affiliate Conduct

Affiliates must act responsibly and must not:

• make false or misleading representations about MICROBA;
• guarantee income, commissions, SA value, health outcomes, or financial returns;
• impersonate MICROBA;
• misrepresent themselves as employees or legal representatives unless authorized;
• use unlawful, deceptive, coercive, or abusive marketing practices;
• manipulate referrals or transactions;
• create fraudulent or duplicate accounts;
• interfere with attribution systems; or
• make claims inconsistent with approved MICROBA information.

MICROBA may investigate suspected abuse and may suspend or revoke relevant programme privileges subject to applicable rules.

Products

Product information may include:

Product identity
Description
Configuration
Price
Availability
Media
Knowledge
Eligibility
Launch context

MICROBA may update Products over time.

The current Product page represents the current Product offering and does not rewrite historical Orders previously entered into.

Product Availability

Product availability may depend on:

• stock or capacity;
• location;
• Product status;
• Launch state;
• eligibility;
• regulatory considerations;
• technical availability; or
• other disclosed conditions.

Placing an item into a Product journey does not necessarily reserve availability unless MICROBA expressly confirms reservation.

Product Versions and Historical Context

Products may evolve through versions.

Where relevant, MICROBA may preserve the Product version or committed Product context that applied when you entered into a transaction.

A later Product change does not automatically modify a completed historical agreement.

Personalised Products and Experiences

Some Products or experiences may use information you provide to generate:

• personalised configurations;
• formulas;
• recommendations;
• Living Snapshots;
• educational outputs; or
• other personalised experiences.

You are responsible for providing accurate information where accuracy affects the result.

Personalised outputs may be produced through software rules, algorithms, or AI-assisted systems.

Such outputs must be understood together with applicable Product information and the MICROBA Disclaimer.

Knowledge, Science and Research

MICROBA may publish:

• articles;
• research explanations;
• scientific information;
• educational materials;
• definitions;
• FAQs;
• community stories; and
• other Knowledge.

Knowledge is provided for the purpose stated in the relevant content.

Unless expressly stated otherwise, Knowledge does not constitute medical, legal, investment, financial, or other regulated professional advice.

Current operational information must be obtained from the relevant MICROBA system.

For example:

An article may explain SA.
The SA Registry determines your actual SA holding.

An article may explain payment.
Commerce determines your actual payment status.

Orders

An Order represents a commercial agreement recorded by MICROBA Commerce.

Before confirming an Order, you are responsible for reviewing information such as:

• Product;
• configuration;
• quantity;
• recipient;
• Place or delivery information;
• amount;
• discount or programme effect;
• payment method; and
• other material transaction information.

An Order reference may be issued after creation.

Historical Order Snapshot

MICROBA may preserve an immutable or historically reliable snapshot of the information relevant to an Order.

This may include:

Product
Product version
Configuration
Price
Recipient
Delivery / Place
Relevant programme context

Changing your current Profile, Place, or Product data does not automatically alter the historical Order snapshot.

Pricing

Prices are displayed in the applicable currency and may be subject to:

• taxes;
• delivery charges;
• discounts;
• Product configuration;
• programme effects; or
• other disclosed charges.

The amount shown at the final commitment point should represent the amount applicable to that transaction, subject to provider processing and any legally permitted correction.

If a material price changes before commitment, you should be given an opportunity to review the updated amount.

Payments

MICROBA may support one or more payment providers or methods.

Payment methods may include, depending on availability:

Payment gateway
Bank transfer
Wallet
Cash on Delivery
Other approved providers

A payment provider may have its own terms and privacy policy.

Payment Status

The following concepts are distinct:

Order Created
Payment Pending
Payment Confirmed
Order Processing
Order Completed

Returning to MICROBA from an external payment interface does not itself prove that payment has been completed.

MICROBA may wait for authoritative provider confirmation before marking a payment as confirmed or paid.

Payment Failure or Expiry

If a payment fails, expires, is cancelled, or cannot be verified:

• the Order may remain unpaid;
• you may be offered another payment attempt;
• availability may need to be revalidated; or
• the Order may eventually expire or be cancelled according to applicable rules.

You should avoid intentionally creating duplicate payment attempts for the same obligation.

Cash on Delivery

Where Cash on Delivery ("COD") is available, selecting COD does not mean payment has already been made.

The conceptual lifecycle may include:

Collected
Verified
Paid

MICROBA may require collection and verification before the Order is treated as paid.

Manual Adjustments

Authorized MICROBA operators may use governed manual adjustment or correction processes in exceptional circumstances.

Manual adjustments are not ordinary customer payment methods.

They may require:

• authorization;
• reason;
• supporting reference;
• approval;
• audit record; and
• reversal rather than deletion where correction is later required.

Order Cancellation

Cancellation availability depends on the Product, transaction stage, fulfilment status, applicable law, and Refund Policy.

An Order cannot necessarily be cancelled merely because a user changes their mind after fulfilment or another irreversible process has begun.

Applicable cancellation rights are governed by the Refund Policy and mandatory law.

Refunds

Refunds are governed by the MICROBA Refund Policy and applicable law.

A refund may have consequences for related programme activity.

For example, where the original transaction generated:

SA entitlement
Other programme benefit

the relevant MICROBA capability may process an appropriate reversal, adjustment, cancellation, or reconciliation according to its rules.

A refund does not entitle a person to retain a programme benefit that was conditional on the refunded transaction unless the applicable rules expressly provide otherwise.

SA Programme

MICROBA may operate an SA programme.

SA is a governed MICROBA programme asset/capability whose operation is defined by the applicable SA programme rules.

SA may be:

• generated;
• assigned;
• held;
• transferred;
• gifted;
• donated;
• spent;
• redeemed;
• returned to Treasury; and
• recycled,

where the applicable programme rules permit.

SA Is Not Automatically Money or an Investment

Unless applicable law and specific MICROBA documentation expressly establish otherwise, SA should not be understood as:

• a bank deposit;
• bank account balance;
• legal tender;
• share or equity interest;
• debt security;
• investment contract;
• guaranteed investment;
• guaranteed profit;
• guaranteed return; or
• promise that SA can always be converted into cash.

Any redemption, spending, transfer, or programme value depends on the applicable SA rules, eligibility, availability, and law.

SA Programme Reference Value

MICROBA may publish a programme purchasing or redemption reference value for SA.

The current programme reference under discussion may be expressed as:

1 SA = Rp30,000 programme reference

Where this reference is used, it should be understood according to the applicable SA rules.

It must not be interpreted as a guaranteed external market price, investment valuation, or guaranteed cash redemption right.

MICROBA may revise programme rules or reference values prospectively where permitted, subject to applicable law, governance, and any required notice.

SA Provision and Entitlement

Certain eligible commercial activity may create an SA provision or entitlement according to programme rules.

A provision is not necessarily the same as ownership of an issued SA.

For example:

Fractional backend provision may accumulate until applicable entitlement conditions are satisfied.

SA Treasury and Recycling

MICROBA may maintain Treasury inventory as part of the SA programme.

Where applicable:

1. existing eligible SA in Treasury may be used first;
2. Treasury SA may be recycled or released to satisfy a valid entitlement;
3. a new SA may be generated only where required by the programme rules; and
4. recycling an existing SA does not create a second SA.

The same SA may continue through multiple valid owners or transactions while preserving its identity and transaction lineage.

SA Serial and Registry

An issued SA may have a unique serial or identifier.

MICROBA may preserve a registry showing:

• generation;
• ownership;
• transfer;
• redemption;
• Treasury return;
• recycling; and
• other relevant transaction history.

A recycled SA retains its identity unless the programme rules expressly provide for a governed invalidation or replacement process.

SA Transfers, Gifts and Donations

Where enabled, you may transfer, gift, or donate SA according to programme rules.

Before confirming a transaction, you are responsible for reviewing:

• recipient or destination;
• SA quantity;
• applicable serial/asset context;
• restrictions; and
• transaction consequence.

Completed transactions may not be freely reversible.

Corrections or reversals, where permitted, must follow the governed SA process.

SA Spending and Redemption

Where spending or redemption is offered, eligibility and process are governed by the applicable SA rules.

Spent or redeemed SA may return to Treasury for future recycling.

Where cash redemption is available, the SA movement and the associated cash/payment process may be handled by different MICROBA capabilities.

A request to redeem SA does not necessarily mean cash payment has already been completed.

Treasury and Sponsorship

MICROBA may maintain internal Treasury and Sponsorship records to monitor SA circulation and programme balance.

These internal mechanisms exist for programme operation, reconciliation, and governance.

They do not by themselves create:

• a customer bank account;
• a deposit owed on demand;
• an investment account;
• ownership of MICROBA corporate assets; or
• a guaranteed financial return.

Detailed internal accounting, programme, or reconciliation terminology may be governed separately.

No Double Counting of Recycled SA

Recycling an existing SA does not constitute generation of a new SA.

This system principle exists to preserve programme integrity and traceability.

Community

MICROBA may provide community features including:

• public Profiles;
• testimonials;
• contributions;
• recognition;
• connections;
• messaging; and
• other community participation.

Community access may be subject to moderation and additional rules.

Community Conduct

You must not use MICROBA community features to:

• harass or threaten others;
• publish unlawful content;
• impersonate another person;
• expose another person's private information without permission;
• distribute malware;
• commit fraud;
• make deceptive commercial claims;
• infringe intellectual property rights; or
• interfere with the operation of MICROBA.

Testimonials and Contributions

If you submit a testimonial, story, article, image, or other contribution for publication, you confirm that:

• you have the right to submit it;
• it does not knowingly violate another person's rights; and
• information you present as your personal experience is genuinely represented as such.

MICROBA may review, edit for presentation with appropriate care, reject, or remove submitted content according to applicable permissions and policies.

Testimonials are personal experiences and are not automatically scientific evidence.

AI and Chatbot Services

MICROBA may provide AI-assisted features or a chatbot.

These services may help users:

• navigate MICROBA;
• understand Knowledge;
• understand Products or programmes;
• locate information;
• receive contextual assistance; and
• access authorized current system information.

AI-generated responses may occasionally be incomplete, outdated, or incorrect.

AI and Operational Truth

When an AI-generated answer conflicts with authoritative MICROBA operational data, the authoritative system record takes precedence.

Examples:

Profile -> identity/account state
HIVE -> sponsor/affiliate state
Launch -> current Launch state
Product -> current Product price/availability
Commerce -> Order/payment state
SA -> SA ownership/transactions

Do not rely solely on AI-generated text for a significant transaction or regulated decision where verification is appropriate.

AI Authorization

AI features do not receive permission to bypass normal authorization.

A chatbot must not be treated as authority to access another person's private information merely because a question can be phrased conversationally.

Intellectual Property

Unless otherwise stated, MICROBA and/or its licensors own or lawfully use the rights in MICROBA platform materials, including applicable:

• names;
• trademarks;
• logos;
• software;
• designs;
• interfaces;
• graphics;
• images;
• text;
• Knowledge;
• documentation;
• Product materials; and
• other protected content.

These Terms do not transfer ownership of MICROBA intellectual property to you.

Permitted Use

You may use MICROBA services for their intended lawful purposes.

You may not, except where permitted by law or written authorization:

• copy or commercially exploit protected MICROBA materials;
• reverse engineer restricted systems;
• bypass technical controls;
• scrape protected/private data;
• interfere with system operation;
• misuse APIs;
• impersonate MICROBA;
• reproduce MICROBA branding in a misleading manner; or
• use MICROBA intellectual property to create deceptive affiliation.

Security and Abuse

You must not:

• probe or attack MICROBA systems without authorization;
• introduce malicious software;
• exploit vulnerabilities;
• automate abusive requests;
• interfere with other users;
• manipulate transactions;
• falsify payment confirmations;
• manipulate HIVE attribution;
• duplicate or counterfeit SA;
• interfere with SA serial/ownership records; or
• attempt to defeat security, reconciliation, or audit mechanisms.

MICROBA may take reasonable steps to protect the platform and investigate suspected abuse.

Suspension and Restriction

MICROBA may restrict or suspend access where reasonably necessary because of:

• security risk;
• suspected fraud;
• material breach of these Terms;
• unlawful activity;
• abuse;
• payment disputes;
• programme manipulation;
• identity concerns;
• safety concerns;
• legal requirements; or
• protection of MICROBA or other users.

Where appropriate and legally permitted, MICROBA may provide information about the restriction and available review process.

Termination and Account Closure

You may request account closure through the available MICROBA process.

MICROBA may terminate or restrict an account according to these Terms and applicable law.

Termination does not automatically erase historical records required for:

• Orders;
• payments;
• refunds;
• HIVE reconciliation;
• SA Registry integrity;
• fraud prevention;
• disputes;
• security;
• audit; or
• legal obligations.

Effect of Termination on Programmes

Account closure, suspension, or termination may affect:

• access to Products;
• community participation;
• HIVE status;
• pending commissions;
• SA actions;
• redemption eligibility; or
• other programme features.

The treatment of already-earned or already-owned rights depends on applicable programme rules and law.

MICROBA should not confiscate or cancel a legally protected right merely because an account closes unless there is a valid contractual or legal basis.

Service Availability

MICROBA aims to provide reliable services but does not guarantee uninterrupted availability.

Services may be interrupted because of:

• maintenance;
• upgrades;
• provider outages;
• security incidents;
• internet/network failures;
• force majeure;
• legal requirements; or
• circumstances beyond reasonable control.

Changes to Services

MICROBA may improve, modify, replace, suspend, or discontinue features.

Where a change materially affects an existing contractual or programme right, MICROBA will seek to handle the change according to applicable law and the relevant agreement.

Third-Party Services

MICROBA may integrate with third-party services such as:

• payment providers;
• communications providers;
• hosting providers;
• analytics providers;
• AI providers;
• logistics providers; or
• other technology services.

Third-party services may have their own terms and privacy policies.

MICROBA is not responsible for third-party services beyond the extent required by applicable law or the applicable contractual relationship.

Privacy

Personal data is processed according to the MICROBA Privacy Policy and any applicable additional privacy notice.

The Privacy Policy forms an important part of your relationship with MICROBA but serves a different purpose from these Terms.

Refund Policy

The MICROBA Refund Policy governs applicable cancellation, return, and refund processes.

Where mandatory consumer law provides greater rights than the Refund Policy, mandatory law prevails.

Disclaimer

The MICROBA Disclaimer applies to relevant:

• scientific information;
• health-related information;
• research;
• Knowledge;
• personalised outputs;
• AI-generated information;
• SA programme descriptions;
• programme reference values; and
• other matters identified in that Disclaimer.

No Guaranteed Results

Unless expressly guaranteed in a legally binding Product agreement, MICROBA does not guarantee:

• health outcomes;
• personal transformation;
• Product results that inherently vary by person;
• affiliate income;
• commission;
• business success;
• SA appreciation;
• SA cash convertibility;
• investment return; or
• uninterrupted access to every programme feature.

Limitation of Liability

To the maximum extent permitted by applicable law, MICROBA and PT Nusaraya International Resources will not be liable for indirect, incidental, special, consequential, exemplary, or purely economic losses arising from use of MICROBA where such liability may lawfully be excluded or limited.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

Any final limitation-of-liability wording should be reviewed against applicable Indonesian law and the jurisdictions in which MICROBA actively offers Products or services.

User Responsibility

You are responsible for:

• reviewing transaction details;
• maintaining account security;
• providing accurate required information;
• understanding applicable Product/programme rules;
• complying with law;
• checking material information before acting on it; and
• seeking appropriate professional advice where a matter requires medical, legal, financial, tax, or other regulated expertise.

Indemnity

To the extent permitted by applicable law, you may be responsible for losses, claims, or expenses arising from your unlawful misuse of MICROBA, material breach of these Terms, infringement of another person's rights, fraud, or unauthorized activity.

Any final indemnity clause should be reviewed for enforceability under applicable consumer and contract law.

Force Majeure

MICROBA will not be responsible for delay or failure caused by events beyond its reasonable control to the extent permitted by law.

Such events may include natural disasters, war, civil disturbance, governmental action, infrastructure failure, major telecommunications disruption, or other force majeure events.

Changes to These Terms

MICROBA may update these Terms as the platform, Products, programmes, technology, or legal requirements evolve.

Material changes may be communicated through:

• the website;
• account notice;
• email;
• updated effective date; or
• another appropriate method.

Where law requires renewed acceptance or consent, MICROBA will seek it through an appropriate mechanism.

Changes should not be applied retroactively to eliminate accrued contractual rights where doing so would be unlawful.

Programme Rule Changes

Specific programme rules, including HIVE or SA rules, may evolve prospectively.

Where material changes affect future participation, MICROBA may provide notice through appropriate channels.

Historical transactions should remain interpretable according to the rules applicable to them at the relevant time.

Governing Law

Unless mandatory law requires otherwise, these Terms are intended to be governed by the laws of the Republic of Indonesia.

Mandatory consumer, privacy, or other legal protections applicable in another jurisdiction may still apply where they cannot lawfully be excluded.

Dispute Resolution

If you have a dispute with MICROBA, you should first contact MICROBA through its official support channel so the matter can be reviewed and, where possible, resolved directly.

If a dispute cannot be resolved informally, it may be handled through the competent court or other dispute-resolution mechanism available under applicable law.

The final published dispute clause should be reviewed by Indonesian legal counsel, including whether a specific court jurisdiction, mediation process, arbitration mechanism, or consumer dispute body should be identified.

Severability

If a provision of these Terms is found invalid or unenforceable, the remaining provisions should continue to apply to the extent legally possible.

No Waiver

Failure by MICROBA to enforce a provision on one occasion does not automatically waive the right to enforce it later.

Entire Agreement

These Terms, together with the documents expressly incorporated into them and any applicable Product- or programme-specific terms, form the agreement governing the relevant MICROBA services.

Where specific Product or programme terms conflict with these general Terms, the more specific terms may apply to that specific matter, subject to mandatory law.
